Disposal of Subsidiary: The GP Service Limited

The Joint Administrators of Kanabo Group plc (the "Company") announce that on
9 December 2025, the disposal of the Company's entire issued share capital in
The GP Service Limited ("GPS") was completed. The subsidiary has been acquired
by Green UK Wholesale Ltd (the "Buyer").

The consideration for the transaction has been paid in full on completion. The
specific terms remain confidential to protect the commercial interests of the
operating business.

Following this disposal, the Joint Administrators are now focused on the
Company's remaining structure. The Joint Administrators are currently working
closely with the Company's Directors to evaluate strategic options for the
future of the Company.

The objective of this review is to explore potential pathways that may allow
the Company to exit administration as a going concern and to facilitate a
potential lifting of the suspension of trading in the Company's shares.
