PDMR Dealing Announcement

Exercise of Warrants & Total Voting Rights

 

The Company announces that Miral Patel, who is a Person Discharging Managerial
Responsibility ("PDMR") and LLP Member of Book Asset Management LLP (the
"Investment Manager"), exercised on 27 June 2024, 75,000 warrants over new
ordinary shares of £0.001 each in the Company ("Ordinary Shares") at an
exercise price of £1.60 per share (the "Warrant Exercise"). Further details
on the warrants are set out in Part VI of the Company's IPO prospectus
document, which is available for download on its website at

Admission

Further to the announcement made on 27 June 2024, an application has been made
for, in aggregate,  175,000 new Ordinary Shares to be admitted to trading on
the Specialist Fund Segment of the London Stock Exchange's Main
Market ("Admission") and it is expected that Admission will become effective
on or around 8.00 a.m. on 2 July 2024.

The allotment of these new Ordinary Shares has no impact on the reported net
asset value ("NAV") per share as at 31 March 2024, as the NAV per share
accounts for the impact of any outstanding warrants being exercised.

Total Voting Rights

From Admission, the Company's issued share capital will total 60,175,000
Ordinary Shares of £0.001 each. The Company holds no Ordinary Shares in
treasury. Therefore, the total number of Ordinary Shares with voting rights in
the Company will be 60,175,000 and this figure may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FCA's Disclosure Guidance and Transparency Rules.

The notification below, made in accordance with the requirements of the UK
version of Regulation (EU) No 596/2014 of the European Parliament and of the
Council of 16 April 2014 on market abuse (market abuse regulation) and
repealing Directive 2003/6/EC of the European Parliament and of the Council
and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC, which is
part of UK law by virtue of the European Union (Withdrawal) Act 2018, as
amended, provides further detail.
