    * Purchaser (a wholly-owned subsidiary of company), vendor 
and company entered into sp agreement 
    * Purchaser has conditionally agreed to purchase at an 
aggregate purchase price of HK$189.3 million 
    * Purchaser agreed to purchase sale shares, representing an 
aggregate of 39% of issued share capital of target 
    * Purchaser being Major Bright Holdings Limited and vendor 
is Jfa Capital
