Finland's S-Bank to launch $653 million bid for Oma Savings Bank
Finland's S-Bank to launch $653 million bid for Oma Savings Bank July 9 (Reuters) - Finland's S-Bank on Thursday said it will make a voluntary cash tender offer of €17.20 per share for Oma Savings Bank OMASP.HE, valuing the lender at €571.4 million ($653.17 million), Oma Savings Bank said in a statement.
The board of Oma Savings Bank has unanimously decided to recommend that shareholders accept the tender offer, the bank said.
The offer price represents a 52.5% premium to the 12-month volume-weighted average trading price, and about a 47% premium to Wednesday's close of €11.70.
Five savings-bank foundations, which together hold about 59.9% of Oma Savings Bank, have irrevocably undertaken to accept the offer.
The tender offer is expected to be completed in the fourth quarter of this year, Oma Savings Bank said.
After the completion of the tender offer, Oma Savings Bank would continue as a subsidiary of S-Bank Plc.
Following its completion, the aim is to delist Oma Savings Bank from Nasdaq Helsinki.
Oma Savings Bank shares were up about 44.4% in early Helsinki trade.
