Publication of Final Terms

The Final Terms in relation to the issue of £350,000,000 Fixed Rate Reset
Tier 2 Notes due 2053 (the "Notes") under the Phoenix Group Holdings plc
£5,000,000,000 Euro Medium Term Note Programme (the "Programme") are
available for viewing.

The Final Terms contain the final terms of the Notes and must be read in
conjunction with the base prospectus dated 30 June 2023 relating to the
Programme, as supplemented on 2 October 2023 and 23 November 2023 (the
"Prospectus"), which together constitutes a base prospectus for the purposes
of Regulation (EU) 2017/1129 as it forms part of domestic law by virtue of the
European Union (Withdrawal) Act 2018.
