Result of Annual General Meeting

 

Randall & Quilter Investment Holdings Ltd. (AIM:RQIH) (the "Company"), the
leading non-life global specialty insurance company focusing on Program
Management and Legacy Insurance businesses, today held the Annual General
Meeting referred to in the Notice of AGM dated 20 June 2022.

 

Resolutions 1 to 11 and 14, as set out in the notice convening the Annual
General Meeting have been duly passed.

 

A summary of the votes submitted is available on the Company's website.

 

The Board notes that resolutions 12 and 13, to disapply the pre-emption
provisions in the Company's bye-laws in certain limited circumstances, were
not approved by shareholders. Given the Company recently raised $129.5
million, the Board does not currently expect to raise equity capital in the
next 12 months, but if it requires equity capital, the Board will seek
shareholder approval to do so.
