   "The  attached Prospectus  was approved  by the  Luxembourg Commission  de
   Surveillance du Secteur  Financier on  5 July 2021  under Regulation  (EU)
   2017/1129 for  the  purposes  of  a  public  offer  in  both  Belgium  and
   Luxembourg of a maximum aggregate nominal amount of Euro 125,000,000  with
   respect to  3.00 per. cent guaranteed  notes due 2027 (the "Notes") to  be
   issued by Renewi plc. The Notes will be listed on the official list of the
   Luxembourg Stock Exchange and admitted to trading on the Luxembourg  Stock
   Exchange's regulated market.

   The offer period will start  on 8 July 2021 and  is expected to end on  15
   July 2021  (subject to  early closing).  Any potential  investors in  both
   Belgium and  Luxembourg wishing  to participate  in the  public offer  and
   subscribe to the Notes will find more information on how to apply for  the
   Notes and on the  terms and conditions  of both the  public offer and  the
