The Restaurant Group Plc (the "Company")
Notification of transactions by persons discharging managerial responsibilities and persons closely associated with themThe Company was notified on 29 November 2018, pursuant to Article 19(1) of the Market Abuse Regulation (2014/596/EU) ("MAR"), that the transactions set out below occurred on the London Stock Exchange in connection with new ordinary shares in the share capital of the Company, provisionally allotted (nil paid) with ISIN GB00BG364719 (each a "Nil Paid Right").
On 29 November 2018, Nil Paid Rights were granted to the following individuals, each of whom is a "person discharging managerial responsibilities" ("PDMR") as such term is defined in MAR:

Unless otherwise defined in this announcement, capitalised terms in the following paragraph have the meaning given to them in the combined circular and prospectus of the Company dated 12 November 2018 (the "Prospectus").
The Prospectus states that Graham Clemett held 14,218 Ordinary Shares at the Latest Practicable Date, being 9 November 2018, and that, immediately following the Rights Issue, Graham will hold 34,755 Ordinary Shares, assuming he takes up his rights to New Ordinary Shares in full. On 3 December 2018, however, the Company was informed that Graham in fact held 12,138 Ordinary Shares at the Latest Practicable Date and 11,926 Ordinary Shares at the Record Date, as a result of a series of sales conducted by Graham's investment manager to fund investment management fees, details of which are set out below. The Company understands that Graham intends to acquire a further 5,603 Nil Paid Rights before 11.00 a.m. on 13 December 2018 in order to ensure that, immediately following the Rights Issue, Graham will hold 34,755 Ordinary Shares.
