Notification of transactions by directors, persons discharging managerial responsibilities ('PDMRs') and connected persons
On 12th October 2020, the Company made the following conditional awards of nil cost options ('Awards') under The Restaurant Group Restricted Share Plan ('RSP') over ordinary shares of 28 1/8 pence each in the share capital of the Company ('Shares') to Directors and Persons Discharging Managerial Responsibility ('PDMR'):

The above Awards were calculated using a price of 52.7 pence per Share (being the prevailing price on the date of the last market update prior to consulting with shareholders on the RSP).
 
Vesting of the RSP Awards is subject to the continued employment of participants and satisfaction of certain underpin conditions.
The Awards will normally vest (subject to the underpin conditions) in full after 3 years. Awards held by the Executive Directors will also be subject to a 2-year holding period ending on the 5th anniversary of grant.
 
The Awards were made in accordance with the Company's remuneration policy.
 
The relevant notification set out below is provided in accordance with the requirements of Article 19 of the EU Market Abuse Regulation.
