Results of Extraordinary General Meeting ("EGM")

Riverstone Energy Limited today announces that the resolution, which proposed
the renewal of the authority to purchase from time to time the Company's
Shares in the market, up to 14.99 per cent. of the Ordinary Shares in issue
(excluding shares held in treasury), either for cancellation or to hold as
treasury shares for future resale or transfer (the "Special Resolution"), put
forward at the EGM held at 2.30 p.m. (London time) today was duly passed
without amendment.

The Special Resolution was put to the meeting on a poll and the details were
as follows:

*A vote withheld is not a vote in law and is therefore not counted towards the
proportion of votes "for" or "against" the Special Resolution.
