 RECOMMENDED CASH ACQUISITION

 of

 Biffa plc

 by

 Bears Bidco Limited
 (a newly incorporated company controlled by funds managed by affiliates of ECP
 V, LLC)

 Cancellation of listing and trading of Biffa Shares

Further to the announcement made by Biffa plc ("Biffa") earlier today
regarding the suspension of listing and dealings in Biffa Shares, Biffa is
pleased to announce that, following an application by Biffa, the Financial
Conduct Authority has cancelled the listing of Biffa Shares on the premium
segment of the Official List and the London Stock Exchange has cancelled the
trading of the Biffa Shares on its Main Market for listed securities, in each
case with effect from 8.00 a.m. today.

Capitalised terms used but not defined in this announcement have the meanings
given in the circular in relation to the Scheme that was published on 21
October 2022 unless the context requires otherwise.

All references to times in this announcement are to London time.
