Rule 19.6(c) Confirmation of compliance with post-offer intention statements
with regard to St Modwen Properties Plc

Brighton Bidco Limited ("Bidco") announces that, further to the completion of
its recommended cash offer for the entire issued and to be issued share
capital of St Modwen Properties Plc, which was effected by way of a scheme of
arrangement under Part 26 of the Companies Act 2006, and which became
effective on 6 August 2021, it has duly confirmed in writing to The Panel on
Takeovers and Mergers in accordance with the requirements of Rule 19.6(c) of
the Code that it has complied with its post offer intention statements made
pursuant to Rules 2.7(c)(iv) and 24.2 of the Takeover Code, as originally
detailed in its announcement of 20 May 2021 and in the scheme document
published on 24 June 2021 and as subsequently updated in the announcement on
22 September 2021 following the decision that St. Modwen Logistics would not
