Rule 19.6(c) confirmation of compliance with post-offer intention statements
with regard to DWF Group plc

 

Aquila Bidco Limited ("Bidco"), a company indirectly owned by funds advised by
Inflexion Private Equity Partners LLP ("Inflexion"), announces that, further
to completion of its recommended cash acquisition for the entire issued and to
be issued share capital of DWF Group plc, which was implemented by way of
scheme of arrangement under Part 26 of the Companies Act 2006 which became
effective on 3 October 2023, it has duly confirmed in writing to the Panel on
Takeovers and Mergers in accordance with the requirements of Rule 19.6(c) of
the Code that Bidco has complied with its post-offer intention statements made
pursuant to Rules 2.7(c)(viii) and 24.2 of the Code, as originally detailed in
its announcement of 21 July 2023 and the scheme document published on 15
August 2023.
