Retirement of Director and Succession Planning Update

 

The Board of the Company announces that, for personal reasons, Uma Bhugtiar
has retired as a non-executive Director with immediate effect.

 

The Board is grateful to Uma for her contribution to the Company during her
tenure.

 

The Board has appointed an executive search consultant to assist in finding a
successor for Uma. A further announcement on the appointment of Uma's
successor will be made in due course.

 

The Board maintains an ongoing focus on succession planning to ensure its
long-term continuity and effectiveness. Following Uma's retirement, the Board
intends to refresh its composition in a phased manner. As part of this
process, Andrew Baird is due to retire from the Board in June 2026, with
Jeremy Whitley retiring in June 2027.

 

This announcement is made in accordance with UK Listing Rule 6.4.6R.
