Dec 31 (Reuters) - SDM Group Holdings Ltd  8363.HK : 
 * Says company entered into the warrant placing agreement with the placing 
   agent 
 * To place up to 40 million warrants conferring rights to subscribe for up to 
   40 million warrants shares at hk$1.5 per warrant share 
 * Says warrants are to be placed at hk$0.0574 each 
 * Says net proceeds of approximately hk$0.8 million 
 * Assuming full exercise of subscription rights attaching to the warrants, 
   expected up to hk$60 million will be raised
