Notice of EGM

 

Secure Property Development & Investment PLC, the AIM quoted South Eastern
European focused property company, announces that it has today sent a Notice
of Extraordinary General Meeting (the "EGM") and associated proxy to
shareholders.  A copy of the Notice of EGM can also be found on the Company's

The EGM will be held at the registered address of the Company, 16 Kyriakos
Matsis Avenue, Eagle House, 10th Floor, 1082 Nicosia, Cyprus on 23 April 2025
at 11:00 a.m.

 

The purpose of the EGM is to make the necessary changes to the Company's share
capital structure, now that the exact numbers of such shares received is fixed
and consequently the required capital reduction is also finalised, in order to
permit the distribution to shareholders of SPDI their pro rata allocation of
shares of Arcona Property Fund N.V. obtained recently by the Company, or by a
bank transfer of readily available funds, or both as the board of directors
may in their absolute discretion may decide. To do this, the Company's share
premium account needs to be reduced. Shareholders are encouraged to read the
Notice of EGM in full for further detail. Both resolutions are to be proposed
as special resolutions, and therefore require 75% of those voting to vote in
favour to pass.  The Board recommends all shareholders vote in favour of the
resolutions, as it intends to do so in respect of its beneficial holdings.
