    * Unit entered into a conditional share purchase deed 
whereby hetat will acquire 60% of total issued and paid-up 
capital of tlc modular construction joint stock co 
    * Entering into a non-binding term sheet with duong thi thuy 
mai  and together with hetat 
    * Aggregate consideration for proposed acquisition is US$4.2 
million 
    * Consideration will be satisfied by way of cash
