    * Unit Tempus BVI entered into shareholders' agreement with 
RJ capital, TRIC and JV company 
    * Pursuant to shareholders' agreement, Tempus BVI, RJ 
capital and TRIC has subscribed for 45, 30 and 25 shares in JV 
company, respectively
