    * Company entered into subscription agreement with 
subscribers and cm securities 
    * Gross proceeds from issue of convertible bond pursuant to 
subscription agreement will be approximately hk$300 million 
    * Proceeds from issue of convertible bond are intended to be 
used for acquisition 
    * Subscribers under the agreement  are tus-holdings, munsun 
smart and cmsi
