Change in notifiable holding by Directors of TCS PLC

The Company  was notified on 26 July 2021 that a trust in which Edward Ziff, Chairman and Chief Executive, has a non-beneficial interest in has transferred a total of 1,716,783 TCS shares to the ultimate beneficiaries, who are all members of the Ziff Concert Party. These shares have previously been declared as part of Edward Ziff's non-beneficial shareholdings. The shares transferred represent 3.2% of the Company's issued share capital. The transfers took place on 22 July 2021.

Following these transfers Edward Ziff's shareholding in TCS now totals 5,488,990 beneficial shares and 13,848,110 non-beneficial shares. These holdings equate to 10.4% and 26.1% respectively of the total issued share capital.

One of the ultimate beneficiaries is Ben Ziff, a Director of TCS, who received 429,195 of these shares. Following these transfers Ben Ziff's shareholding in TCS now totals 770,164 beneficial shares. This holding equates to 1.5% of the total issued share capital.

The Ziff Concert Party, the composition of which has previously been agreed with the Takeover Panel, comprises three Directors, Edward Ziff, Michael Ziff and Benjamin Ziff, and Edward's and Michael's immediate families including their sister, their mother, their children and a number of trusts of which they are both trustees. The Ziff Concert Party's shareholding in TCS now represents 51.5% of the total issued share capital.
