Non-Executive Director Change

 

TT Electronics plc ("the Company") announces that Jack Boyer will step down as
a Non-Executive Director at the conclusion of the Company's Annual General
Meeting on 10 May 2024, at which time he will also cease to be the Senior
Independent Director and will relinquish his membership of the Company's
Audit, Nominations and Remuneration Committees.

The Board is pleased to announce the appointment of Anne Thorburn as Senior
Independent Director, in succession to Jack Boyer, with effect from 10 May
2024.

 

The Company also announces that Lynton Boardman will step down as Group
Company Secretary on 31 March 2024, when he will be replaced by the Group
General Counsel, Ian Buckley.  Furthermore, the Company announces that Mick
Ord has joined the Audit Committee.

 

Warren Tucker, the Chairman of TT Electronics plc, said:

"I would like to thank Jack for his invaluable contribution to TT Electronics,
the Board and our wider Committee discussions, since joining TT in 2016.  I
am particularly grateful for the energy, commitment and enthusiasm with which
Jack has carried out his duties as Senior Independent Director and as the
Company's designated director for stakeholder engagement.  Jack leaves TT
Electronics with the Board's best wishes for the future.

While sad to see Jack leave the Board, this move is part of our sequenced
succession plan for the Board. The Board will recruit a further Non-Executive
Director during 2024. We are particularly delighted that Anne has agreed to
take up the role of Senior Independent Director and that we have been able to
appoint such an able successor at this important point in the Company's
progression.

I would also like to express the Board's huge gratitude to Lynton who has been
a constant throughout and instrumental in the transformation of TT since he
joined 11 years ago. We wish him well for the future."
