Retail Offer Results

 

UK Oil and Gas PLC (AIM: UKOG) is pleased to announce that, further to its
announcement of 19(th) November 2024 and pursuant to its offer to its existing
retail shareholders via CMC CapX (the "Retail Offer"), it has raised £55,537
(before expenses) via the issue of 222,148,000 new ordinary shares of
£0.000001 each in the capital of the Company (the "Retail Offer Shares") at a
price of 0.025 pence per share.

For the avoidance of doubt, the Retail Offer is separate from and does not
form part of the Placing announced on 19(th) November 2024.

The Retail Offer is conditional on the Fundraising Shares being admitted to
trading on the AIM market operated by London Stock Exchange plc ("Admission").
Completion of the Retail Offer is conditional, inter alia, upon the
completion of the Placing.

 

Admission to trading

 

Application will be made to AIM for Admission, which is expected to become
effective and dealings in the Retail Offer Shares to commence at, 8.00 a.m. on
or around 27(th)  November 2024.

Following Admission, the total voting rights in the Company will be
13,362,909,833 and Shareholders will be able to use this figure as the
denominator by which they are required to notify their interest in, or change
to their interest in, the Company under the Disclosure Guidance and
Transparency Rules.
