and with its subsidiaries "the Group")
PCA Trading Notification
The Company has received notice today that a company which is deemed to be controlled by Mr Osmond, a director of Various Eateries, has undertaken a transfer of shares in Various Eateries to certain other connected persons.

In addition three children of Hugh Osmond received 2,000 Ordinary Shares each at a price of 105p from Rare Bird Hotels Limited which is below the detailed disclosure threshold required under the regulations.
 
These transfers were intended and permitted pursuant to the terms of a series of Lock in Agreements signed by each of Hugh Osmond and Rare Bird Hotels Limited on 18 September 2020 at the time of the Company's AIM admission and are to facilitate the gifts of shares by Hugh Osmond to members of his family who will subsequently abide by the same terms of the Lock in Agreements.
 
Following these transfers, Hugh Osmond's holding is deemed to be unchanged. He remains interested in 41,616,859 Ordinary Shares representing 46.75% of the total issued share capital of the Company of which 24,569,344 Ordinary Shares are held by Xercise 2 Limited, 7,353,428 Ordinary Shares are held by Rare Birds Hotel Limited, 3,174,603 Ordinary Shares are held by the Great House at Sonning Limited, 5,513,484 Ordinary Shares are held by Friends Provident International (FPI operates on an execution only basis on the sole instruction of Hugh Osmond), 1,000,000 Ordinary Shares are held by Lucy Potter and 6,000 Ordinary Shares are held by his three children.
