TRANSACTIONS IN OWN SECURITIES

Vodafone Group Plc ("Vodafone") announces today that it has purchased the
following number of its ordinary shares of US$0.20 each from Citigroup Global
Markets Limited ("Citi"). Such purchase was effected pursuant to instructions
issued by Vodafone on 14 November 2024, as announced on 14 November 2024 (the
"Programme"):

 

 

 Date of purchase:                                                 08 January 2025
 Number of ordinary shares purchased:                              9,250,000
 Highest price paid per share (pence):                             67.60
 Lowest price paid per share (pence):                              66.06
 Volume weighted average price paid per share (pence):             66.62

 

 

Vodafone intends to hold the purchased shares in treasury. Following the
purchase of these shares, Vodafone holds 1,782,413,131 of its ordinary shares
in treasury and has 25,466,983,297 ordinary shares in issue (excluding
treasury shares).

 

As part of the Programme, Citi purchases Vodafone (213800TB53ELEUKM7Q61)
ordinary shares and sells such shares to Vodafone. In connection with the
above purchases, on 08 January 2025 Citi (as riskless principal) elected to
purchase 9,250,000 Vodafone ordinary shares to sell to Vodafone. A schedule of
individual trades carried out by Citi on 08 January 2025 is set out below.
