  Results of the 2023 General Meeting

 

The Board of VPC Specialty Lending Investments PLC ("VSL" or the
"Company") announces that, at the General Meeting of the Company held on 12
June 2023, the resolutions put to the meeting were approved by shareholders.
Details of the proxy votes lodged are set out below

 

 Ordinary Resolution                                                   For*         Against     Withheld**
 1.     To adopt the proposed New Investment Policy                    143,530,484  2,012,962   8,099,900
 2.     To amend the terms of the Investment Management Agreement      83,042,929   66,210,261  4,390,156

 

The Board engaged with shareholders during the period ahead of the General
Meeting and is aware of the concerns raised by certain shareholders who voted
against resolution 2. Notwithstanding this, the Board notes that a majority of
those voting supported the resolution, and the Board continues to consider
that the resolution is in the best interests of the Company and its
shareholders as a whole. Neither the investment manager nor SVS Opportunity
Fund, L.P. (a 20.2% shareholder) voted on resolution 2.
