Results of AGM

 

 

Westminster Group Plc (AIM: WSG) announces that at the Annual General Meeting
held today at 10am Resolutions 1-3 were passed by the requisite majority.
Resolutions 4 - 7 were withdrawn from the agenda of the AGM prior to the event
following consultation with a number of shareholders.

 

The proxy votes cast in respect of each resolution are below:

A resolution "To receive the audited Financial Statements for the financial
year ended 30 June 2025" will be put to a General Meeting in the New Year.

 

The chairman of the meeting noted that he had been asked by shareholders to
defer the following resolutions to that General meeting in the New Year:

 

 4  To re-appoint PKF Littlejohn LLP as auditors
 5  To authorise the directors to fix the remuneration of the auditors
 6

    Authorise the Directors to allot Relevant Securities up to an aggregate
    nominal amount of £150,000

 7

    Subject to the passing of resolution 6, authorise the Directors to allot
    equity securities for cash or sell any equity securities of the company held
    as treasury shares

 

Accordingly, these were not put to the meeting on 30 December 2025 but will be
taken at a General Meeting in the New Year
