Directorate and Committee Changes

Workspace Group PLC (the "Company") today announces changes to the structure
and membership of certain of its Board Committees.

The Company is pleased to announce the formation of a Board ESG Committee
which will be responsible for overseeing the Company's sustainability
strategy. The ESG Committee will be comprised of all members of the Board,
both executive and non-executive. Duncan Owen, non-executive director, has
been appointed as Chair of the new ESG Committee.

The Risk Committee was formed in September 2020 as the Company began
implementation of an updated risk management framework, and the dedicated Risk
Committee has served the Company well as it has progressed with embedding that
framework. Now that implementation of the framework has been significantly
progressed, it is considered that the responsibilities of the Risk Committee
can be effectively dealt with by the Audit Committee and directly by the
Board. It has therefore been decided to integrate certain activities of the
Company's Board Risk Committee into the Audit Committee, with the Board
retaining overall responsibility for risk management.

Membership of the Company's Audit Committee now comprises Rosie Shapland
(Chair), Lesley-Ann Nash and Manju Malhotra.

There are no changes to the composition of the Company's Remuneration
Committee or Nominations Committee.

 

Damon Russell will step down at the close of the Company's AGM in July 2022
having served nine years on the Board.
