Notes:
* A vote withheld is not a vote in law and is not counted in the calculation
of the proportion of votes "For" or "Against" a resolution.
** Indicates special resolutions requiring a 75% majority.
The Company notes that a significant number of votes have been cast against
resolutions 14, 15 and 16. In the case of resolutions 15 and 16, these votes
will prevent the resolutions from being passed, as these resolutions are
special resolutions requiring at least 75% of all votes cast by shareholders
to be in favour of them in order to pass. The Company is disappointed by this
outcome, as these resolutions are considered routine for UK listed companies
and would have renewed the disapplication authorities granted at the Company's
previous Annual General Meeting. The Company will continue to engage with
shareholders in order to fully understand their views and explain why it
considers these resolutions are in shareholders' best interests as a whole.
Copies of the resolutions passed at the AGM, other than those concerning
ordinary business, will be submitted to the UK Listing Authority and will in
due course be available for inspection at www.morningstar.co.uk/uk/NSM
(http://www.morningstar.co.uk/uk/NSM)
Details of the votes received on the resolutions are available on the
Company's website at www.workspace.co.uk (http://www.workspace.co.uk) .
