Notice of AGM, Placing Update, Issue of Warrants, Total Voting Rights

 

Zenova Group PLC (AIM: ZED), a provider of innovative fire safety and heat
management technology and products, announces that it has sent notice
convening the Annual General Meeting of the Company to be held at the offices
of Memery Crystal, 165 Fleet St, London, EC4A 2DY on 28 June 2023 at 10.00am.

 

Placing Update and Total Voting Rights

 

Zenova also announces that further to its announcement on 31 May 2023
regarding a placing to raise £500,000 at 4 pence per share, admission of the
12,500,000 new ordinary shares will now take place at 8.00 a.m. on 14 June
2023.

 

Therefore, with effect from 14 June 2023 the total number of voting rights in
the Company is 105,884,053. As the Company holds no shares in treasury, this
figure can be used by shareholders as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or
a change to their interest in, the Company under the FCA's Disclosure Guidance
and Transparency Rules..

 

Issue of Warrants and Deferred Subscription Agreement

 

In addition to receiving placing shares, investors participating in the
placing were granted a warrant in the ratio of one warrant for each placing
share ("Placee Warrants"). The Placee Warrants carry an exercise price of 10
pence per ordinary share and expire in three years from the date of issue.
Placee Warrants over an aggregate of 8,750,000 ordinary shares have been
granted in relation to the placing.

 

Additionally, one investor has entered into a deferred subscription agreement
with Zenova pursuant to which it has the right to subscribe for up to an
aggregate of 3,750,000 ordinary shares at 10 pence per ordinary shares within
three years from the date of issue.
