Result of AGM & Board Appointment

The Directors of Zytronic plc are pleased to announce that at the AGM held on
9 February 2023, all resolutions put before shareholders were duly passed.

A summary of votes passed at the meeting will be made available shortly on the
Company's website www.zytronicplc.com (http://www.zytronicplc.com/) .

Board Appointment

Further to the Company's announcement earlier today, the Board of Zytronic is
pleased to confirm that John Walter will be appointed as Non-executive
Director, effective 10 February 2023. As previously announced, John's
appointment will be for a fixed-term period, concluding no later than the day
prior to the posting of the notice to shareholders of the 2024 AGM.

John is a former investment banker and wealth manager with over 25 years'
investment experience in the public markets, having worked at both NatWest
Markets and Chase Manhattan Bank before setting up Metis Asset Management.

Mark Cambridge, Chief Executive Officer, said:

"We are pleased to temporarily welcome John to the Board, to afford the
Company with a better balance of Non-executive impartiality, after the sudden
ill-health departure of David Buffham at the start of this fiscal year, whilst
we conduct and complete the recruitment of further Independent Non-executive
Directors with commercial skill-sets appropriate to the strategy of the
business."

The following disclosures are required regarding John Antony Christian
Walter's (aged 57) appointment pursuant to Schedule Two paragraph (g) of the
AIM Rules for Companies ("AIM Rules"):

·    John Walter, together with his connected persons, own 552,500
ordinary shares in the Company (split 515,000 ordinary shares in his own name
and 37,500 via his connected persons).

·    John Walter holds no current directorships or partnerships and has
not previously been a director or partner in the last 5 years.

Save as set out above, there is no further information to be disclosed in
respect of John Walter under Schedule 2(g) of the AIM Rules.
