STOCK, YOU SHOULD IMMEDIATELY FORWARD THIS DOCUMENT TO THE PURCHASER OR
TRANSFEREE OR THE STOCKBROKER, BANK OR OTHER AGENT THROUGH WHOM THE SALE OR
TRANSFER WAS EFFECTED FOR TRANSMISSION TO THE PURCHASER OR TRANSFEREE.

 

HDL DEBENTURE LIMITED

(the "Issuer")

in respect of the Issuer's outstanding

10.375 per cent First Mortgage Debenture Stock due 2023

(the "Stock")

 

This notice is being issued by the Issuer for the holders of the Stock which
are constituted pursuant to a Trust Deed dated 13 July 1993 (as the same may
be amended, supplemented and/or restated from time to time, the "Trust Deed")
between the Issuer and Royal Exchange Trust Company Limited (the "Trustee").

Capitalised terms not otherwise defined in this notice shall have the meaning
given to them in the Trust Deed.

We refer to (i) the Issuer's notice dated 31 July 2023, pursuant to which the
Issuer notified the Stockholders of the occurrence of a default under
Condition 1 of the Stock due to the non-payment of the principal amount due on
the Stock on 31 July 2023, (ii) the Trustee's notice to Stockholders dated 2
August 2023 in respect of such default, and (iii) the Trustee's notice to
Stockholders dated 10 November 2023 provided to the Stockholders by post
pursuant to the Trust Deed, giving notice as follows (the "Redemption
Notice"):

"In accordance with the Trust Deed, the Trustee has been directed by
Stockholders holding not less than one-fifth in nominal amount of the Stock
for the time being outstanding to enter into a deed of release in order to
effect the payment of principal and interest in respect of the Stock
Outstanding on 17 November 2023 (the "Repayment Date"). On the Repayment Date,
Link Market Services Limited (as registrar in respect of the Stock) shall
effect such payment by way of cheque to be posted to the Stockholders'
addresses as set out in the Register or via CREST (as applicable)."

The Issuer is issuing this notice as notice of the Redemption Notice.
