Issue of shares following the exercise of share options, notification and
public disclosure of transactions by PDMRs/Directors, admission of new
1Spatial Shares to trading on AIM and Rule 2.9 announcement
On 21 January 2026, the boards of VertiGIS and 1Spatial announced that they
had reached agreement on the terms of a recommended cash offer pursuant to
which VertiGIS will acquire the entire issued and to be issued ordinary share
capital of 1Spatial (the "Acquisition"). The Acquisition is being
implemented by means of a Court-sanctioned scheme of arrangement (the
"Scheme") under Part 26 of the Companies Act 2006.
Capitalised terms used but not defined in this announcement ("Announcement")
have the meanings given to them in the scheme document published on 17
February 2026 containing the full terms and conditions of the Acquisition (the
"Scheme Document").
Following the Court sanction of the Scheme on 16 April 2026, conditional
exercises by holders of nil-cost and market price options granted under the
1Spatial Share Plan for an aggregate of 7,196,858 1Spatial Shares have become
unconditional.
Consequently, (i) 3,090,326 new 1Spatial Shares have been allotted and issued
to 1Spatial Holdings Limited as trustee of the 1Spatial employee benefit trust
to satisfy the exercise of nil-cost options held by certain employees of the
Company's Group (for immediate onward transfer to those employees), and (ii)
4,091,133 new 1Spatial Shares have been allotted and issued to certain
employees of the Company's Group that hold market price options to satisfy the
exercise of such options (together the "New 1Spatial Shares"). In addition,
15,399 1Spatial Shares have been transferred out of treasury to certain
employees of the Company's Group that hold market price options to satisfy the
exercise of such options.
An application has been made by the Company for the New 1Spatial Shares to be
admitted to trading on AIM, and admission to trading which will take place at
8.00, on 24 April 2024, such that an aggregate of 7,196,858 1Spatial Shares
are held by holders of options in accordance with the proposals made by
VertiGIS and 1Spatial to participants under the 1Spatial Share Plan in letters
to them dated 17 February 2026 in accordance with Rule 15 of the Code (the
"Rule 15 Proposals"). All such 7,196,858 1Spatial Shares are "Scheme Shares"
for the purposes of the Scheme and will therefore be acquired by VertiGIS
under the Scheme.
The holders of options who conditionally exercised their options in accordance
with the Rule 15 Proposals included the following 1Spatial Directors in
respect of options granted to them under the 1Spatial Share Plan (all of which
options, to the extent not already vested, vested automatically on Court
sanction of the Scheme):

Notifications by the 1Spatial Directors in accordance with the Market Abuse
Regulation (EU) No.596/2014, as it forms part of the laws of the United
Kingdom from time to time, are set out in the Appendix to this Announcement.
Following the allotment and issue of the 7,181,459 new 1Spatial Shares on the
date of this Announcement, 1Spatial confirms, in accordance with Rule 2.9 of
the Code and for the purposes of Rule 17 and Schedule 7 of the AIM Rules for
Companies, that it has 119,056,975 ordinary shares of £0.10 each in issue and
no 1Spatial Shares are held in treasury and the total number of voting rights
is therefore 119,056,975. This figure may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
share capital of the Company under the FCA's Disclosure and Transparency
