Posting of Circular and Related Party Transactions
1Spatial plc, the global geospatial software and solutions company, confirms that in connection with its proposed Placing to raise £8 million (net of fees and expenses) and Share Consolidation, it will today post a circular, including the Notice of General Meeting (the "Circular"), to Shareholders.  A copy of the Circular will be available to download from the Company's website shortly.
 
The General Meeting will be held at 10 a.m. on 20 August 2018 at the offices of N+1 Singer, 1 Bartholomew Lane, London EC2N 2AX, at which the Resolution will be proposed.  A Form of Proxy for use at the General Meeting accompanies the Circular. The Form of Proxy should be completed and signed in accordance with the instructions thereon and returned to the Company's registrar, Link Asset Services, as soon as possible, but in any event so as to be received by no later than 10 a.m. on 16 August 2018. The completion and return of a Form of Proxy will not preclude Shareholders from attending the General Meeting and voting in person should they so wish.

The respective participations in the Placing by the Shareholders listed above each constitute a related party transaction for the purposes of the AIM Rules. The Directors consider, having consulted with the Company's nominated adviser, N+1 Singer, that the terms of the Placing with each of Columbia Threadneedle Investments, Hargreave Hale, Azini Capital Partners and Legal & General Investment Management are fair and reasonable insofar as the Shareholders are concerned.
