 Results of Annual General Meeting

 

1Spatial, (AIM:SPA), announces that at its Annual General Meeting ('AGM'),
held earlier today, all resolutions put to shareholders were duly passed on a
show of hands.

 

The full text of the resolutions considered at the AGM is set out in the
Notice of AGM published on 25 May 2023, available on the Company's website
at www.1spatial.com (http://www.1spatial.com/) .

 

Resolution 12(a) was amended at the meeting (to correct a typographical error)
and the resolution (as amended) was passed by the shareholder at the
meeting.  The full text of resolution 12 (as amended) is set out below:-

 

 "12.       THAT the Company be and is hereby generally and unconditionally authorised for the purpose of Section 701 of the Act to make market purchases (within the meaning of section 693(4) of the Act) of ordinary shares of 10 pence each in the capital of the Company provided that:

(a)         the maximum aggregate number of ordinary shares which may
be purchased is 11,077,015

(b)         the minimum price, exclusive of any expenses, which may be
paid for each ordinary share is 10 pence

(c)          the maximum price, exclusive of any expenses, which may
be paid for each ordinary share is the higher of:

(i)          5% above the average of the mid-market value of an
ordinary share in the Company for the five business days prior to the day the
purchase is made; and

(ii)         the higher of the last independent trade of an ordinary
share and the highest current independent bid for an ordinary share.

The authority granted by this Resolution shall expire at the end of the next
Annual General Meeting of the Company or 31 July 2024 (whichever is the
sooner) save that the Company may, before the expiry of the authority granted
by this Resolution, enter into a contract to purchase ordinary shares which
will or may be executed wholly or partly after the expiry of such authority."

Results of the proxy vote on each resolution will be available of the
Company's website today.
