** 360 Capital Group TGP.AX rises as much as 3.3% to A$0.31, highest since September 4

** Fund manager receives off-market takeover bid from TT Investments, its associates for all securities they do not own currently at A$0.30/share in cash

** TGP last closed at A$0.30

** Co says TT Investments may also acquire securities at or below offer price

** TT Investments, associated with co's executive chairman, collectively holds ~50.03% stake in firm currently

** Co forms board committee of independent directors to consider offer

** TPG last up 1.7%, taking YTD gains to 30.6%
