Issue of Equity

88 Energy Limited (ASX:88E, AIM:88E, OTC:EEENF) (88 Energy or the Company)
confirms that it has issued a total of 694,777 fully paid ordinary shares in
the Company following the vesting of performance rights.

Following the issue of the new ordinary shares above, the Company has a total
of 25,124,062,567 ordinary shares on issue, all of which have voting rights.
The figure of 25,124,062,567 ordinary shares may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or change their interest in, the
Company.

Application has been made for the New Ordinary Shares to be admitted to
trading on AIM (Admission), with Admission expected on or around at 8.00am on
5 March 2024.
