shares of its subsidiary, Acer AI Cloud Inc. ("AIC"), to ABH's other
subsidiary, Altos Computing Inc. ("ALT"), via stock exchange, conversion,
selling or other appropriate methods at the most recent book value at the time
of the transfer, so AIC may become ALT's 100% owned subsidiary.
