DIRECTORATE CHANGE

 

AIB Group plc and Allied Irish Banks, p.l.c. (together the "Group" or "AIB")
announces that Mr Brendan McDonagh will not be putting himself forward for
re-election as a Director at the forthcoming Annual General Meeting on 30
April 2026 and will step down as a Director at the conclusion of that meeting,
having served just over nine years on the Board, including over six years as
Board Risk Committee chair.

Mr Jan Sijbrand, who has served on the Board, and the Board Risk Committee, as
a non-executive Director since September 2021, has been appointed as chair of
the Board Risk Committee and will take over this responsibility from Mr
McDonagh with effect from 25 March 2026.  Mr McDonagh will remain as a member
of the Board Risk Committee until his retirement and will work closely with Mr
Sijbrand to ensure a smooth handover.

The Chair, Mr Jim Pettigrew, said:

"On behalf of the Board and the Group I want to record our sincere thanks to
Brendan, who has made a remarkable contribution to the Board and to the Group
since his initial appointment in October 2016.  During the period since, and
in addition to his excellent chairing of the Board Risk Committee, Brendan has
served on the Nomination and Corporate Governance Committee, the Remuneration
Committee and the Board Audit Committee.  He served as interim chair between
2020 and 2021 at a time of enormous challenge presented by the COVID 19
pandemic and, since my appointment in late 2021, Brendan fulfilled the role of
Deputy Chair.  His support and advice in this role is something I have
greatly appreciated.  We wish Brendan continued success in the future.

I am very pleased that Jan will take over as chair of the Board Risk
Committee.  His leadership and credentials in this important area are well
established in AIB and I expect the transition of responsibility from Brendan
will be seamless."

This announcement is made in accordance with the Euronext Listing Rule 6.1.5
and UK Listing Rule 9.6.11.
