PROPOSED APPOINTMENT OF EXECUTIVE DIRECTOR

 

The board (the "Board") of directors ("Director(s)") of Air China Limited (the
"Company") announces that, the Board resolved on 18 September 2025 to propose
the appointment of Mr. Liu Tiexiang (劉鐵祥) ("Mr. Liu") as an executive
Director. The proposed appointment of Mr. Liu is subject to the approval by
the shareholders of the Company ("Shareholder(s)") at a shareholders' meeting
of the Company. Mr. Liu will enter into a service contract with the Company
for serving as an executive Director for a term commencing on the date of
approval by the Shareholders of his appointment and ending on the expiry of
the term of the current session of the Board. Mr. Liu will not receive any
remuneration for his serving as an executive Director.

 

The biographical details of Mr. Liu are as follows:

 

Mr. Liu Tiexiang, aged 59, graduated from the Air Force No.1 Aviation
University with a major in aviation flight and from the Party School of the
Central Committee of the Communist Party of China with a major in economic
management, and holds the title of Chief Pilot. Mr. Liu started his career in
June 1983. Mr. Liu consecutively served as the general manager of the flight
technology management department, the chief captain of the chief flight team,
the chief pilot, the vice president, member of the Standing Committee of the
Party Committee and the chief operating officer of Air China Limited; the vice
general manager, member of the Party Leadership Group, the general manager,
the deputy secretary of the Party Leadership Group and a director of China
Eastern Air Holding Company Limited; the vice general manager, member of the
Standing Committee of the Party Committee, the general manager, the deputy
secretary of the Party Committee and the vice chairman of China Eastern
Airlines Corporation Limited. Mr. Liu has been serving as the chairman and the
secretary of the Party Leadership Group of China National Aviation Holding
Corporation Limited since August 2025, and has been also serving as member of
the Party Committee, member of the Standing Committee and the secretary of the
Party Committee of Air China Limited since September 2025.

 

As at the date of this announcement, save as disclosed above, Mr. Liu does not
have any relationship with the Directors, senior management, substantial
Shareholder(s) or controlling Shareholder(s) of the Company nor hold any other
positions in the Company or any of its subsidiaries, or any directorships in
other listed companies in the last three years. Mr. Liu does not have any
interests in the shares of the Company within the meaning of Part XV of the
Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong).

 

Save as disclosed above, the Company is not aware of any matters in relation
to the proposed appointment of Mr. Liu as an executive Director that need to
be brought to the attention of the Shareholders or any other information that
is required to be disclosed pursuant to Rules 13.51(2)(h) to (v) of The Rules
Governing the Listing of Securities on The Stock Exchange of Hong Kong
Limited.

 

An ordinary resolution to consider and approve the appointment of Mr. Liu as
an executive Director will be proposed at the forthcoming extraordinary
general meeting of the Company (the "EGM").

 

A notice of the EGM containing, among others, detailed information of the
proposed appointment of Mr. Liu as an executive Director will be published by
the Company in due course.
