Total Voting Rights and Capital

 

London and Lagos, 1 April 2025: In accordance with the Financial Conduct
Authority's (FCA) Disclosure Guidance and Transparency Rule 5.6.1R, the
Company notifies the market that:

1. The Company's issued share capital as at close of business on 31 March
2025 consisted of 3,670,529,876 ordinary shares of USD 0.50 per share
("Ordinary Shares"), each with one vote. As of 31 March 2025, the Company does
not hold any shares in treasury.

2. However, the total number of voting rights figure that may be used by
shareholders as the denominator for the calculations by which they will
determine whether they are required to notify their interest in, or a change
to their interest in, the Company under the Financial Conduct Authority's
Disclosure Guidance and Transparency Rules, is 3,668,829,876. The difference
between the issued share capital and the total number of voting rights
(1,700,000 shares) relates to unsettled share purchases which will be held in
treasury in accordance with the ongoing share buyback programme of the Company
as announced on 28 March 2025.
