Director/PDMR/PCA Transaction - Initial Notification
The Company announces that it was notified on 15 February 2022, that:
a) Liz Carrington, HR Director and a person discharging managerial
responsibility (PDMR) in the Company, has in order to effect a "Bed and ISA"
transaction, sold 3,796 ordinary shares of £0.000125 each in the Company
(Ordinary Shares) at a price of £3.242 per Ordinary Share and then
repurchased into her AJ Bell Youinvest Individual Savings Account (ISA) the
same number of 3,796 Ordinary Shares at a price of £3.242 per Ordinary Share;
b) Nick Carrington, a person closely associated (PCA) with Liz Carrington,
has:
(i) in order to effect a "Bed and ISA" transaction, sold 3,796
Ordinary Shares at a price of £3.242 per Ordinary Share and then repurchased,
into his AJ Bell Youinvest ISA, the same number of 3,796 Ordinary Shares at a
price of £3.242 per Ordinary Share;
(ii) purchased via his AJ Bell Youinvest ISA 2,148 Ordinary
Shares at a price of £3.238941 per Ordinary Share; and
(iii) purchased via his AJ Bell Youinvest SIPP 1,995 Ordinary
Shares at a price of £3.238941 per Ordinary Share
c) James Carrington, a PCA with Liz Carrington, has purchased via his AJ
Bell Youinvest Junior ISA 919 Ordinary Shares at a price of £3.23496
per Ordinary Share; and
d) Gabrielle Carrington, a PCA with Liz Carrington, has purchased via her
AJ Bell Youinvest Junior ISA 919 Ordinary Shares at a price of £3.23496
per Ordinary Share.
The above transactions all took place on 15 February 2022.
Following the transactions, Liz Carrington has an interest in 577,174 Ordinary
Shares which represents 0.14% of the issued share capital of the Company.
This announcement, including the notification below, is made in accordance
with the requirements of the EU Market Abuse Regulation.
