Notice of General Meeting

 

Ajax [LSE: AJAX], the UK listed special purpose acquisition company with a
focus on natural resources, announces that it will today publish a notice
convening a general meeting of its shareholders (the "Notice") to be held at
the offices of Allenby Capital, 5 St. Helen's Place, London, at 1.00 p.m. on 5
March 2024 (the "GM").

 

As indicated in the announcement of 27 November 2023, shareholders will be
asked to approve an extension of the Company's investment mandate for one year
from the date of date of the GM (the "Mandate"). Full details of the Mandate
can be found in the Company's prospectus, dated 1 April 2022, which can be
viewed on the Company's website at:

In addition, shareholders will also be asked to ratify the appointment of the
Company's new statutory auditor, as set out below.  A copy of the Notice and
Form of Proxy will shortly be made available to view on the Company's website

In accordance with Listing Rules 14.3.6R and 14.3.7R, copies of each of the
aforementioned documents will be submitted to the National Storage Mechanism
and will shortly also be available for inspection

The Notice of AGM and Form of Proxy will be posted to shareholders in hard
copy in due course.

 

Appointment of New Auditor

 

The Company is pleased to announce the appointment of Price Bailey LLP as the
Company's new statutory auditor for the financial year to 29 February 2024.

 

This follows the resignation of the Company's previous statutory auditor,
Shipleys LLP, due to its decision to withdraw from providing audit services to
Public Interest Entity ("PIE") clients. Ajax is classified as a PIE because of
its Standard Listing on the Main Market for listed securities of the London
Stock Exchange.

 

Shipleys LLP have confirmed that there are no circumstances connected with
their ceasing to hold office which they consider should be brought to the
attention of the members or creditors of the Company in accordance with
Section 519 of the Companies Act 2006.
