Appointment of independent non-executive Director

The Board of Directors is pleased to announce the appointment of Robert Talbut
as an independent non-executive Director of the Company with effect from 1
June 2026.

Robert was formerly a director and Chief Investment Officer at Royal London
Asset Management Limited and currently holds non-executive director positions
on the Boards of Pacific Assets Trust plc, JPMorgan American Investment Trust
plc and The Baillie Gifford Japan Trust plc.

Within the last 5 years, Robert has retired as a non-executive director of
Schroder UK Mid Cap Fund PLC and Shires Income PLC.

The Chairman of the Board, Dean Buckley, commented 'We are delighted that
Robert is joining the Board of the Company. Robert has extensive investment
company board experience along with wide-ranging knowledge of the asset
management industry. We look forward to the alternative perspectives he will
bring to Board discussions.'

Robert holds 3,639 ordinary shares in the Company.
