("Alpha" or the "Company")

Exercise of Warrants, Issue of Equity for Expenses, and Total Voting Rights

Alpha Growth Plc (LSE: ALGW and OTCQB: ALPGF), a leading financial services
specialist in the growing longevity asset class and insurance linked asset
management, announces that it has received warrant exercise notices over an
aggregate total of 18,750,000 ordinary shares of 0.1p each ("Ordinary Shares")
in the Company for total consideration of £375,000.

In addition, the Company has issued 1,176,143 Ordinary Shares to certain
advisers in lieu of expenses owed to them in relation to the Company's
insurance business in 2022 at the closing price of 2.45p per Ordinary Share on
31 December 2022.

Application has been made for a total of 19,926,143 Ordinary Shares to be
admitted to the standard listing segment of the Official List of the Financial
Conduct Authority and to be admitted to trading on the main market for listed
securities of the London Stock Exchange plc (together, "Admission"). Admission
is expected to become effective at 8.00 a.m. on 20 March 2023.

Total Voting Rights

On Admission, the Company's issued share capital will consist of 451,813,531
Ordinary Shares. There are no Ordinary Shares held in treasury. Accordingly,
the total number of voting rights in Alpha Growth plc at Admission will be
451,813,531.

The above figure 451,813,531 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Alpha Growth plc
under the FCA's Disclosure Guidance and Transparency Rules.
