Retirement of Chief Executive

2025 Notice of the AGM and Annual Accounts

Alumasc, the premium sustainable building products, systems and solutions
group, today announces that Paul Hooper, Chief Executive, will be retiring
from Alumasc on 31 March 2026, after 25 years with the Group and 23 years in
the role. The search for Paul's replacement is well progressed and an
announcement regarding a successor will be made in due course.

Paul joined the Board of Alumasc as Group Managing Director on 2 April 2001
and was appointed Chief Executive in March 2003. Under his leadership, the
Group transitioned from a diversified industrial group operating across the
construction, industrial and engineering sectors to a focused building
products business, supplying premium, sustainable products to markets
supported by long-term environmental growth drivers. Under this refreshed
strategy, the Group has achieved compound annual growth in underlying profit
before tax of 13.3% over the last six years.

Vijay Thakrar, Chair of Alumasc, said:

change. He will be leaving a strong and agile group, well placed to capitalise
on the opportunities in its markets and we wish him the best for his
well-deserved retirement.

Paul will continue to lead the business over the coming months as we
transition to a new Chief Executive and, alongside our other Executive
Directors, will continue to focus on executing Alumasc's growth strategy and
delivering long-term sustainable value to all our stakeholders."

Paul Hooper, Chief Executive of Alumasc, said:

"It has been a tremendous privilege to lead Alumasc. I am looking forward to
stepping aside from full-time executive life at the end of March 2026
following a record performance of the Group and for each of its divisions in
the year ended 30 June 2025. I would like to thank all my talented colleagues
- past and present - for their support. I am proud of all that we have
achieved together and look forward to handing over to a new Chief Executive
who will continue to help to realise Alumasc's potential."

Exit Arrangements:

In accordance with the terms of Paul Hooper's service agreement and the
Company's Remuneration Policy, the Board confirms  the following payments and
benefits will be provided on retirement. Paul Hooper will receive his current
salary and benefits until 31 March 2026. There will be no payment made in lieu
of notice.

Paul will be eligible for an annual bonus in 2026 for the period from 1 July
2025 to 30 June 2026, calculated according to performance against targets.
This will be pro-rated for time served to 31 March 2026 and paid in Autumn
2026 at the same time as continuing employees.

Paul will receive a Performance Share Award under the 2025 Alumasc LTIP of 75%
of his base salary, which will be granted in October 2025. Subject to meeting
performance conditions this award will vest in October 2028 and be pro-rated
for time served to 31 March 2026.

Paul's LTIPs awarded in 2022, 2023 and 2024 will vest in late 2025, 2026 and
2027 respectively, subject to meeting performance conditions, and will be
pro-rated for time served to 31 March 2026.

The Company's Annual General Meeting will be held at 10am on 24 October 2025
at Alumasc Roofing, White House Works, Bold Road, Sutton, St Helens,
Merseyside WA9 4JG.
