AO World plc (the "Company")

Director / PDMR & PCA  Shareholding

 

AO World plc announces that it received notification on 1 July 2025  that on
30 June 2025 John Roberts, CEO and PDMR of the Company gifted, at nil cost,
2,000,000 ordinary shares of 0.25p each in the Company to, Sally Roberts, his
wife and PCA.

As a result of this transaction, John Roberts' beneficial holding is
93,043,526* Ordinary Shares representing 16.03% of the current issued share
capital of the Company.  Sally Roberts' resultant beneficial holding is
2,000,000 is 0.34%

 *The beneficial holding for John Roberts excludes 6,348 Ordinary Shares held
by Crystalcraft Limited, a company of which he is a director and shareholder
and 4,047,115 Ordinary Shares held by the Jolly Foundation, of which John
Roberts is a director and trustee.  Similarly, Sally Roberts' beneficial
holding excludes the 4,047,115 Ordinary Shares held by the Jolly Foundation,
of which she is also  a director and trustee
