Proposed Board Changes

Aptitude (LSE: APTD), a market-leading provider of autonomous finance software
solutions, wishes to announce the following proposed changes to its board of
directors (the "Board").

·     Ivan Martin, Non-Executive Chairman, who was appointed to the
Board on 1 January 2016 will step down from the Board following the 2026 AGM;

·    Barbara Moorhouse, Non-Executive and Senior Independent Director,
who was appointed to the Board on 1 April 2017 will step down from the Board
following the 2025 AGM; and

·    The Board will commence a search process for a new non-executive
director to replace Barbara Moorhouse. It is intended that this new
non-executive director will be appointed as Senior Independent Director with
the aim being that this person will be a potential successor to Ivan Martin as
Chairman following the 2026 AGM.

These changes are intended to balance operational continuity with the
evolution of the strategic leadership of the business. This approach is
supported by major shareholders and the Aptitude executive team.
