Reduction of the share premium account

The Company is pleased to announce that the cancellation of the amount
standing to the credit of its share premium account (the "Share Premium
Cancellation"), approved by shareholders at the annual general meeting of the
Company held on 19 June 2025 (the "AGM"), is now effective.

At the AGM, resolution 13 proposing the Share Premium Cancellation as set out
in the notice of AGM sent to the Shareholders on 27 May 2025 (the "Share
Premium Resolution"), was duly passed by shareholders. Following the passing
of the Share Premium Resolution, the Company applied to the High Court for the
sanctioning of the Share Premium Cancellation. The High Court sanctioned the
Share Premium Cancellation at a hearing held on 19 August 2025 and the court
order approving the Share Premium Cancellation was duly registered with
Companies House on 10 September 2025.

Accordingly, the amount of €255,642,627.68 previously held in the share
premium account of the Company has been cancelled and the distributable
reserves resulting from the Share Premium Cancellation will be treated as
profits available for distribution by the Company. The Company has effected
the Share Premium Cancellation to assist the Company with returning cash, in
the form of capital or by way of dividend, to the shareholders of the Company
as part of the Company's managed wind-down process. The quantum and timing of
any future returns of cash or capital will be at the discretion of the Board
and will be dependent on the realisation of the Company's investments and its
liabilities, general working capital requirements and the amount and nature
(from a tax perspective) of its distributable reserves from time to time.
