(the "Bundeskartellamt")
The Board of ARCADIS N.V. ("ARCADIS") is pleased to announce, in connection with the recommended cash acquisition by ARCADIS UK Investments B.V. ("AUK Investments"), a wholly-owned subsidiary of ARCADIS, of the entire issued and to be issued ordinary share capital of Hyder Consulting plc ("Hyder") not already held by ARCADIS (the "Acquisition"), that on 17 September 2014 it received notice from the Bundeskartellamt that the Acquisition is not prohibited and so may be put into effect. The Condition set out in paragraph 2(A) of Section A of Part Three of the scheme document issued by Hyder on 2 September 2014 (the "Scheme Document") has therefore been satisfied.
