    * Entered into placing agreement with placing agent 
    * Estimated net proceeds from placing are hk$384 million 
    * Gpo Grace (Hong Kong) entered into memorandum of agreement 
with Gpo Grace Limited 
    * Purchaser agreed to acquire and vendor agreed to sell 
vessel, for acquisition consideration of US$103.3 million 
    * Board proposes to implement share consolidation of every 
ten (10) existing shares into one (1) consolidated share
